This service covers the full administrative preparation, facilitation, and documentation of the EGMS, including coordination with a Notary for the issuance of the notarized Minutes of Meeting.
An Extraordinary General Meeting of Shareholders (Rapat Umum Pemegang Saham Luar Biasa – RUPS LB) is conducted when a company must obtain shareholder approval for major decisions that fall outside routine annual matters. These decisions often include changes in the company’s shareholding structure, amendments to the Articles of Association, appointment or dismissal of Board members, capital restructuring, mergers, acquisitions, liquidation matters, or other strategic actions requiring immediate shareholder approval.The EGMS process must follow legal requirements under the Indonesian Company Law (UU No. 40/2007) and the company’s Articles of Association.
